During the initial telephone conference with the project owner, Mr. Cochran will be able to obtain sufficient information specific to the client's condominium conversion project so that he is able to generate an initial draft set of condominium documents. As a project owner, you will be able to use these documents immediately for potential presale marketing, and aid in expediting the financing process with lenders.
The Condominium Conversion Process
The condominium conversion process requires the efforts of an attorney, an engineer or land surveyor, an architect and a reserve study provider. The attorney will prepare a Declaration, Bylaws, Unit Sales Agreement, Disclosure Statement, Escrow Agreement, Partial Release Agreement, Letter of Instruction to Lender, Authorization Forms, 120 day Notices, First Right of Refusal, Receipts of Delivery, and Powers of Attorney.
The surveyor prepares the Operating Budget, Maintenance Plan and Reserve Study to determine monthly assessments for the Homeowner's Association. The Architect/engineer will prepare a conversion report for existing structures to determine the longevity of the components that comprise each building.
Before the attorney finalizes the condominium documents, the surveyor will take measurements of the interior of each unit (framing needs to be up to measure), and designate on the plat all shared common areas. The plat will also show an exclusive right to use areas that go with each unit. These exclusive right-to-use areas often include parking spaces, a garage and back yards. The surveyor will send the plat to the county to review (3 to 6 weeks). The county may require changes to the plat or legal description (1 to 2 weeks). Once the county approves the plat, the developer must send these documents to the Real Estate Agency for final approval of the condominium filing. At this point, the developer records all these documents in order to legally create the condominium.

The Cochran advises clients in a variety of corporate and securities-related transactions, including financings; initial public offerings; public offerings, periodic reporting, and SEC compliance matters for publicly held companies; mergers, acquisitions, strategic alliances, and joint venture transactions; regulation of broker-dealers, investment advisors, and mutual funds; and partnership and other syndication-type transactions.
